ABSTRACT


Cross-border mergers and acquisitions (M&As) have become a crucial aspect of global corporate strategy, facilitating market expansion, consolidation, and access to new resources. However, these transactions often encounter a range of legal challenges that vary significantly depending on the jurisdictions involved. The complexities of regulatory approvals, foreign investment restrictions, competition concerns, and post-merger integration create significant hurdles for firms seeking to engage in cross- border M&As. This paper explores these challenges in-depth, focusing particularly on the Indian regulatory landscape, while also comparing and contrasting the legal frameworks in the United States and the European Union. By examining case studies and recent transactions, this paper provides insights into the legal complexities of cross-border M&As and suggests measures for improving the regulatory environment, enhancing legal coordination, and minimizing barriers to international corporate integration.
