Corporate Criminal Liability: How The Directors Can Be Held Liable?

ABSTRACT

This research paper tries to examine the concept of corporate criminal liability and explores how directors can be held liable for their actions falling under the criminal code of corporate laws. The paper begins by introducing the concept of corporate criminal liability. The paper then delves into an analysis of the legal duties and responsibilities that directors have, as well as the various mechanisms that exist to hold them accountable for any criminal acts committed by the corporations they manage. The research paper also examines various legal theories and principles that underpin it along with various judicial precedents related to corporate criminal liability. In the end, the research paper examines various legislations put in place to dissuade and punish corporate criminal liability of directors. Overall, the research paper offers a thorough analysis of the idea of corporate criminal liability as well as the way directors may be held liable for the deeds of their companies.
