ABSTRACT

The author’s article has laid importance to the symbiotic relationship between two concepts- Corporate Governance and Mergers and Acquisitions (“M&A”), whose intersection demands attention. Further, there has been an attempt to analyze the intricacies of an M&A transaction from a bird’s-eye view of the legal framework in India and recognize the kinds of forces which are at play that affect the viability of an M&A deal. Further, an appreciation is given to the presence of mature and sophisticated structures as it can aid in minimizing risks during an M&A transaction.
