ABSTRACT
This study examines the sections of the Companies Act that deal with independent and women directors, as well as the effects that these rules have on corporate governance. The study looks into the legal framework for independent directors and women directors, as well as the roles, responsibilities, and liabilities that go along with those roles, and assesses how well those legal frameworks work to promote accountability, diversity, and transparency in corporate decision-making. The research intends to give insights into the practical consequences of these requirements for companies and stakeholders through the use of a mixed-method approach that includes a doctrinal analysis of pertinent laws and regulations and empirical data from landmark judgments and precedents. The research will add to the ongoing conversation on corporate governance reform and the role of independent and women directors in boosting board effectiveness and performance.
