ABSTRACT


The Indian Companies Act, 2013 marked a significant shift in corporate governance, introducing various reforms aimed at improving transparency, accountability, and inclusiveness within corporate structures. Among these reforms, the Act recognized the importance of gender diversity, particularly the role of women in leadership positions. It mandated specific provisions to increase the representation of women in corporate boards, acknowledging that diversity brings varied perspectives that enhance decision-making andgovernance.


This article explores the role of women under the Companies Act, 2013, focusing on key provisions that promote gender diversity, the rationale behind these provisions, and their impact on corporate governance in India. It also examines challenges and future steps required to enhance women's participation in the corporate sector.
