Scope And Judicial Development Of Partners' Fiduciary Duties

ABSTRACT


This research critically examines the fiduciary duties of partners under Indian partnership law, focusing on their statutory foundations, judicial interpretations, and evolving relevance in contemporary business contexts. Rooted in the principle of uberrima fides (utmost good faith), the Indian Partnership Act, 1932, encompasses loyalty, transparency, disclosure, and indemnification obligations. The study explores the challenges posed by modern partnership structures, such as Limited Liability Partnerships, where contractual flexibility intersects with enduring fiduciary responsibilities, requiring a balance between business autonomy and equitable fairness. Overall, fiduciary duties function as dynamic ethical instruments that safeguard trust, accountability, and integrity in partnership governance, emphasising the need for ongoing legislative and judicial refinement.
